Terms of Service

These Terms of Service ("Agreement") form a legally binding contract between you ("Client," "you," or "your") and Biznitos LTD, trading as New Kingston Janitorial ("NKJ," "the Company," "we," or "us"), a company registered in Jamaica with offices at 5 Balmoral Ave, Suite J, Kingston, Jamaica. This Agreement is governed by the laws of Jamaica and sets out the terms under which NKJ provides janitorial and cleaning services.
By signing a service agreement, accepting a quote, or allowing NKJ personnel to begin work on your premises, you confirm that you have read, understood, and agree to these Terms of Service in their entirety.
1. Definitions
The following terms have specific meanings throughout this Agreement:
- "Agreement" means these Terms of Service together with any signed Service Order, quote, or proposal accepted by you.
- "Client" or "you" means the individual, company, partnership, or organisation engaging NKJ for cleaning services.
- "NKJ," "the Company," "we," or "us" means Biznitos LTD, trading as New Kingston Janitorial.
- "Services" means the janitorial, cleaning, and related services described in your Service Order or accepted quote.
- "Premises" means the location(s) where Services are to be performed, as specified in your Service Order.
- "Service Order" means the written document (physical or electronic) specifying the scope, frequency, pricing, and schedule of Services for your Premises.
- "Staff" or "Personnel" means any employee, supervisor, or agent of NKJ assigned to perform Services at your Premises.
- "GCT" means Jamaica's General Consumption Tax, currently levied at 15% on taxable supplies of services.
- "Business Day" means any day other than a Saturday, Sunday, or public holiday recognised under the Public General Holidays Act of Jamaica.
- "Force Majeure Event" has the meaning set out in Section 16 of this Agreement.
2. Scope of Services
2.1 Services Included
NKJ provides commercial and residential janitorial services as outlined in your Service Order. Standard services may include, but are not limited to:
- General office, retail, or facility cleaning
- Floor care (sweeping, mopping, vacuuming, buffing)
- Restroom and washroom sanitisation and restocking
- Kitchen and breakroom cleaning
- Dusting of surfaces, fixtures, and vents
- Trash removal and bin liner replacement
- Glass, mirror, and window cleaning (interior, ground floor)
- Reception and common area detailing
- Post-construction cleaning
- Event setup and breakdown cleaning
2.2 Services Not Included
Unless specifically agreed in writing and included in your Service Order, the following fall outside the scope of NKJ's standard services:
- Pest control or fumigation
- Removal or handling of hazardous materials, including asbestos, biohazardous waste, medical waste, or toxic chemicals
- Exterior pressure washing or facade cleaning above the ground floor
- Landscaping, lawn care, or garden maintenance
- Specialised industrial cleaning requiring trade-specific equipment
- Restoration work following fire, flood, or hurricane damage
- Security guard services or loss prevention
- Plumbing, electrical, or building maintenance work
2.3 Custom Cleaning Plans
NKJ creates a tailored cleaning plan for each Client following an on-site walkthrough. Your plan details the specific tasks, frequency, and any special instructions agreed upon. Changes to your plan require written notice from an authorised representative of both parties and may result in adjusted pricing.
3. Pricing and Payment
3.1 Recurring Service Rates
NKJ's standard recurring service rate is J$5,500 per cleaner per day. The total cost depends on the number of cleaners assigned, the frequency of visits, and any specialised tasks included in your Service Order. Your quote will itemise all charges before you accept.
3.2 One-Time and Project-Based Services
One-time services, deep cleans, post-construction cleans, and special projects are quoted on a per-project basis. Your quote will detail the scope, estimated duration, number of personnel, and total price. Acceptance of the quote constitutes agreement to the quoted price.
3.3 General Consumption Tax (GCT)
All prices quoted by NKJ are exclusive of GCT unless expressly stated otherwise. GCT at the prevailing rate (currently 15%) will be added to all invoices in accordance with Jamaica's General Consumption Tax Act. NKJ's Tax Registration Number (TRN) appears on every invoice.
3.4 Invoicing and Payment Terms
- Invoices for recurring services are issued on the 1st Business Day of each month for the current month's services.
- All invoices are due within fourteen (14) calendar days of the invoice date.
- Accepted payment methods include bank transfer, cheque, and such other methods as NKJ may offer from time to time.
- One-time or project-based services may require a deposit of up to 50% before work begins, with the balance due upon completion.
3.5 Late Payment
If payment is not received by the due date:
- A late fee of 1.5% per month (18% per annum) will be applied to the outstanding balance, calculated from the day after the due date.
- NKJ reserves the right to suspend Services if any invoice remains unpaid for more than thirty (30) calendar days after the due date, upon giving you five (5) Business Days' written notice of intent to suspend.
- You are responsible for all reasonable costs incurred by NKJ in collecting overdue amounts, including legal fees, court costs, and debt recovery agency charges.
3.6 Price Adjustments
NKJ may adjust recurring service rates no more than once per twelve-month period. You will receive at least thirty (30) calendar days' written notice before any price increase takes effect. If you do not accept the new pricing, you may terminate this Agreement in accordance with Section 12 without penalty, provided written notice of termination is given before the effective date of the price change.
4. Scheduling and Access
4.1 Agreed Cleaning Schedule
Your cleaning schedule (days, times, frequency) is established in the Service Order. NKJ will use commercially reasonable efforts to adhere to the agreed schedule. Minor adjustments to arrival times (within a 30-minute window) do not constitute a breach.
4.2 Client Access Obligations
You must provide NKJ with reliable access to the Premises during scheduled service times. This includes:
- Keys, access cards, alarm codes, or security credentials necessary for entry
- Instructions for alarm systems, security protocols, or building management requirements
- Coordination with building security or property management, where applicable
NKJ will safeguard all keys and access credentials and return them promptly upon termination of services. If NKJ Staff cannot gain access to the Premises at the scheduled time due to circumstances within your control, the visit will be counted as a completed service and billed accordingly.
4.3 Public Holidays
NKJ does not provide scheduled services on gazetted public holidays under Jamaica's Public General Holidays Act, including New Year's Day, Ash Wednesday, Good Friday, Easter Monday, Labour Day (May 23), Emancipation Day (August 1), Independence Day (the first Monday in August), National Heroes Day (the third Monday in October), Christmas Day, and Boxing Day. If your regular cleaning day falls on a public holiday, a make-up service will be scheduled on the next available Business Day, or as mutually agreed.
4.4 Schedule Changes
Either party may request changes to the cleaning schedule by providing at least five (5) Business Days' written notice. NKJ will make commercially reasonable efforts to accommodate your requests, subject to staff availability. Permanent schedule changes may require an updated Service Order.
5. Staff and Conduct
5.1 Employment Status
All NKJ Staff assigned to your Premises are employees of Biznitos LTD. They are not your employees, agents, or independent contractors. NKJ is solely responsible for hiring, training, compensating, supervising, and terminating its Staff. NKJ handles all payroll, statutory deductions (NIS, NHT, Education Tax, Income Tax), and benefits as required under Jamaica's employment laws, including the Employment (Termination and Redundancy Payments) Act and the National Insurance Act.
5.2 Background Checks and Training
NKJ conducts background screening on all personnel before assignment to Client Premises. Staff receive ongoing training in cleaning techniques, chemical safety, workplace health and safety (in accordance with the Occupational Safety and Health Act, 2017), and professional conduct.
5.3 Uniforms and Identification
All NKJ Staff on your Premises will wear company-branded uniforms and carry identification badges at all times during service. If any person on your Premises claims to represent NKJ but is not in uniform or cannot produce identification, you should refuse entry and contact NKJ immediately.
5.4 Non-Solicitation of Staff
During the term of this Agreement and for a period of twelve (12) months after termination, you agree not to directly or indirectly solicit, recruit, hire, or engage any NKJ Staff member who has performed Services at your Premises, whether as an employee, contractor, or through a third party. If you breach this clause, you agree to pay NKJ a recruitment fee equal to three (3) months of that staff member's gross salary as liquidated damages. This amount represents a genuine pre-estimate of NKJ's loss in recruiting and training a replacement, and is not a penalty.
5.5 Staff Substitution
NKJ reserves the right to substitute individual Staff members assigned to your Premises at any time, provided that replacement personnel meet the same standards of training and screening. NKJ will use reasonable efforts to maintain continuity of personnel but does not guarantee that the same individuals will service your Premises on every visit.
5.6 Client Conduct Toward Staff
You agree to treat NKJ Staff with courtesy and respect. NKJ has the right to immediately remove Staff and suspend Services, without liability, if any Staff member is subjected to harassment, abuse, threats, or discrimination at your Premises. Services will resume once the matter is resolved to NKJ's reasonable satisfaction.
6. No-Show, Missed Service, and Service Failures
6.1 NKJ Failure to Attend
If NKJ fails to provide a scheduled service without prior notice and the failure is not caused by a Force Majeure Event or your failure to provide access, NKJ will, at your choice:
- Perform a make-up service within two (2) Business Days, or
- Apply a credit to your next invoice equal to the value of the missed service.
6.2 Repeated Failures
If NKJ fails to attend three (3) or more scheduled services in any calendar month (excluding Force Majeure Events), you may terminate this Agreement immediately for cause in accordance with Section 12.3.
6.3 Notification Obligations
NKJ will notify you as soon as reasonably practicable if a scheduled service will be delayed or cannot be performed. Notification will be made by telephone, email, or WhatsApp message to the contact details provided in your Service Order.
6.4 Force Majeure
Neither party is liable for failure to perform obligations under this Agreement to the extent that performance is prevented, hindered, or delayed by a Force Majeure Event, as defined in Section 16.
7. Property Damage
7.1 Insurance Coverage
NKJ maintains public liability insurance to cover damage to Client property caused by the negligence or accidental acts of NKJ Staff during the performance of Services. You may request a copy of the certificate of insurance at any time.
7.2 Reporting Damage
You must report any property damage allegedly caused by NKJ Staff in writing (email is acceptable) within forty-eight (48) hours of discovering the damage. The report should include:
- A description of the damage
- The date and approximate time the damage is believed to have occurred
- Photographs of the damage, where possible
- An estimate of the repair or replacement cost
7.3 Claims Process
Upon receiving your damage report, NKJ will:
- Acknowledge receipt within one (1) Business Day
- Conduct an internal investigation, which may include interviewing Staff and reviewing cleaning logs
- Provide a written response within ten (10) Business Days, either accepting responsibility and proposing a resolution, or explaining why the claim is denied
- Where liability is accepted, arrange for repair or replacement, or issue a payment, within thirty (30) calendar days
7.4 Liability Cap for Property Damage
NKJ's maximum liability for any single property damage claim shall not exceed J$500,000 or the replacement value of the damaged item, whichever is less, unless covered by a higher limit under NKJ's insurance policy.
7.5 Pre-Existing Damage
NKJ is not liable for damage that existed before the commencement of Services. NKJ recommends that you conduct a joint walkthrough with your NKJ account manager before services begin to document the condition of fixtures, furnishings, and surfaces. Any pre-existing damage noted during the walkthrough will be recorded in writing and signed by both parties.
7.6 Items of Extraordinary Value
You must disclose in writing the presence and location of any items of extraordinary value at the Premises, including artwork, antiques, electronics worth more than J$100,000 individually, or irreplaceable items. NKJ's liability for damage to undisclosed items of extraordinary value is limited to J$50,000 per item.
8. Theft and Security
8.1 Fidelity Bonding
NKJ maintains fidelity bonding coverage to protect Clients against theft by NKJ Staff. The fidelity bond covers direct losses resulting from dishonest or fraudulent acts by bonded employees during the performance of Services at your Premises.
8.2 Reporting Theft
If you believe NKJ Staff have committed theft at your Premises, you must:
- Report the suspected theft to NKJ in writing within twenty-four (24) hours of discovery
- File a police report with the Jamaica Constabulary Force within forty-eight (48) hours of discovery
- Provide NKJ with a copy of the police report and a detailed inventory of the missing items, including estimated values
8.3 Cooperation with Investigations
NKJ will cooperate fully with any police investigation related to alleged theft by NKJ Staff. NKJ will provide access to personnel records, work logs, and any other information reasonably requested by law enforcement, subject to applicable privacy laws.
8.4 Claim Resolution
Valid theft claims will be processed through NKJ's fidelity bonding coverage. Reimbursement for proven losses will be made within sixty (60) calendar days of the bond claim being accepted by the surety provider, subject to the terms and limits of the bond.
8.5 Client Security Obligations
NKJ is not liable for the loss of items that you failed to reasonably secure. You are responsible for:
- Locking safes, vaults, and secure storage areas before NKJ arrives
- Securing cash, jewellery, negotiable instruments, and personal valuables
- Locking filing cabinets containing sensitive or confidential documents
- Ensuring that CCTV or surveillance systems are operational, if installed
NKJ's fidelity bond does not cover losses of cash, loose currency, or items left unsecured in open areas.
9. Limitation of Liability
9.1 Aggregate Liability Cap
To the maximum extent permitted by Jamaican law, NKJ's total aggregate liability to you for all claims arising out of or related to this Agreement, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees paid by you to NKJ during the three (3) calendar months immediately preceding the event giving rise to the claim.
9.2 Exclusion of Indirect Damages
NKJ shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of business, loss of revenue, loss of data, business interruption, or reputational harm, even if NKJ has been advised of the possibility of such damages.
9.3 No Liability for Unsecured Valuables
You assume all risk for valuables, cash, documents, and personal property that are not secured in locked storage before NKJ Staff arrive. NKJ disclaims liability for loss of or damage to such items.
9.4 Statutory Rights
Nothing in this Agreement excludes or limits NKJ's liability for death or personal injury caused by the negligence of NKJ or its Staff, or for any other liability that cannot be excluded or limited under the laws of Jamaica, including the Consumer Protection Act.
9.5 Limitation Period
Any claim arising under this Agreement must be brought within twelve (12) months of the date on which the cause of action arose. This contractual limitation does not affect any longer statutory limitation period that applies under the Limitation of Actions Act of Jamaica where such statutory period cannot be reduced by agreement.
10. Client Responsibilities
10.1 Safe Working Environment
Under Jamaica's Occupational Safety and Health Act (2017), every person who controls a workplace has a duty to ensure that it is safe and without risk to health. You must provide NKJ Staff with a working environment that is free from known hazards. Specifically, you agree to:
- Ensure the Premises have adequate lighting, ventilation, and stable flooring in all areas to be cleaned
- Report known hazards, including wet floors, broken glass, exposed wiring, chemical spills, or pest infestations, before NKJ Staff begin work
- Provide access to running water and electricity at the Premises
- Keep walkways and work areas reasonably clear of obstructions
- Inform NKJ if any areas of the Premises contain asbestos, mould, or other hazardous substances
10.2 Disclosure of Special Conditions
You must inform NKJ of any conditions at the Premises that may affect the safety of Staff or the delivery of Services, including:
- Recent renovations, painting, or construction
- Animals or pets on the Premises
- Ongoing pest treatment programmes
- Special floor finishes, coatings, or materials that require particular care
- Areas with restricted access or security clearance requirements
10.3 Securing Confidential Materials and Valuables
You are responsible for securing all confidential documents, trade secrets, financial records, personal data, and items of value before NKJ Staff arrive. While NKJ takes confidentiality seriously (see Section 13), the physical security of your possessions is your responsibility.
10.4 Authorised Representative
You must designate at least one authorised representative who has authority to give instructions regarding Services, approve changes to the Service Order, and receive communications from NKJ. Changes to the authorised representative must be communicated to NKJ in writing.
11. Insurance
11.1 NKJ's Insurance Obligations
NKJ maintains, at its own cost, the following insurance coverage throughout the term of this Agreement:
- Public Liability Insurance: Covering third-party bodily injury and property damage arising from NKJ's operations at Client Premises
- Fidelity Bonding: Covering direct losses resulting from dishonest acts by NKJ employees, as described in Section 8
- Workers' Compensation Insurance: Covering NKJ employees for workplace injuries and illnesses in accordance with applicable Jamaican law
- Employer's Liability Insurance: Covering NKJ's legal liability for injuries to its employees arising from negligence
11.2 Certificates of Insurance
You may request copies of NKJ's certificates of insurance at any time. NKJ will provide current certificates within five (5) Business Days of a written request. NKJ will notify you within ten (10) Business Days if any of the above policies are cancelled, materially reduced, or not renewed.
11.3 Client's Insurance
NKJ recommends that you maintain your own property insurance and general liability insurance for your Premises. NKJ's insurance does not extend to losses caused by your own negligence, the actions of your employees or visitors, or events unrelated to NKJ's performance of Services.
12. Cancellation and Termination
12.1 Contract Term
Unless otherwise specified in your Service Order, this Agreement operates on a month-to-month basis following the completion of any initial term stated in the Service Order.
12.2 Termination for Convenience
Either party may terminate this Agreement at any time by giving thirty (30) calendar days' written notice to the other party. The termination takes effect at the end of the 30-day notice period.
12.3 Termination for Cause
Either party may terminate this Agreement immediately by written notice if the other party:
- Commits a material breach of this Agreement and fails to remedy the breach within fourteen (14) calendar days of receiving written notice of the breach
- Becomes insolvent, enters liquidation, has a receiver appointed, or makes an assignment for the benefit of creditors
- Is convicted of, or has its directors or officers convicted of, fraud, theft, or any criminal offence involving dishonesty
In addition, you may terminate immediately for cause under Section 6.2 (repeated service failures).
12.4 Final Payment
Upon termination for any reason:
- You must pay all outstanding invoices and charges for Services performed up to the effective date of termination
- Any prepaid amounts for services not yet rendered will be refunded within fourteen (14) Business Days
- Late payment charges continue to accrue on any overdue amounts after termination
12.5 Return of Property
Upon termination, NKJ will return all keys, access cards, alarm codes, and other property belonging to you within five (5) Business Days. You must return any NKJ equipment or supplies in your possession within the same period.
13. Confidentiality
13.1 Confidentiality Obligations
NKJ acknowledges that its Staff may, in the course of performing Services, observe or come into contact with confidential business information at your Premises, including financial documents, client lists, proprietary processes, and personal data. NKJ agrees to:
- Instruct all Staff to treat any information observed at your Premises as confidential
- Not disclose, reproduce, or use any such information for any purpose other than the performance of Services
- Take reasonable measures to prevent unauthorised disclosure by its Staff
13.2 Exceptions
NKJ's confidentiality obligations do not apply to information that:
- Is already publicly available through no fault of NKJ
- Is required to be disclosed by law, regulation, or court order (in which case NKJ will notify you promptly, where legally permitted)
- Is disclosed to NKJ's insurers, legal advisors, or auditors on a need-to-know basis for the purposes of administering this Agreement
13.3 Survival
The obligations in this Section 13 survive the termination of this Agreement for a period of two (2) years.
14. Dispute Resolution
14.1 Good Faith Negotiation
If a dispute arises out of or in connection with this Agreement, the parties will first attempt to resolve it through good faith negotiation. Each party must designate a senior representative with authority to settle the dispute. The representatives will meet (in person or by video call) within ten (10) Business Days of a written dispute notice and negotiate in good faith for a period of at least twenty (20) Business Days.
14.2 Mediation
If the dispute is not resolved through negotiation, either party may refer the matter to mediation administered by the Dispute Resolution Foundation (DRF) of Jamaica or another accredited mediation provider agreed upon by both parties. Mediation will take place in Kingston, Jamaica. Each party bears its own costs, and the mediator's fees are split equally. The mediation process will be confidential.
14.3 Arbitration
If mediation does not resolve the dispute within forty-five (45) calendar days of referral to mediation, either party may submit the dispute to binding arbitration under the Arbitration Act of Jamaica (2017). The arbitration will be conducted in Kingston by a sole arbitrator appointed by agreement of the parties or, failing agreement within fourteen (14) calendar days, by the Jamaica International Arbitration Centre (JAIAC). The arbitrator's decision is final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
14.4 Governing Law and Jurisdiction
This Agreement is governed by and construed in accordance with the laws of Jamaica. For any matter not subject to arbitration, or for interim or injunctive relief, the courts of Kingston, Jamaica have exclusive jurisdiction.
14.5 Urgent Relief
Nothing in this Section 14 prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction where necessary to protect its rights.
15. Indemnification
15.1 NKJ's Indemnification
NKJ agrees to indemnify, defend, and hold you harmless from and against any third-party claims, losses, damages, and reasonable legal costs arising directly from the negligent or wilful acts or omissions of NKJ Staff while performing Services at your Premises, except to the extent that such claims result from your own negligence or breach of this Agreement.
15.2 Client's Indemnification
You agree to indemnify, defend, and hold NKJ harmless from and against any claims, losses, damages, and reasonable legal costs arising from:
- Hazardous conditions at the Premises that you failed to disclose in accordance with Section 10
- Injury to NKJ Staff caused by your negligence or the negligence of your employees, agents, or visitors
- Your breach of any obligation under this Agreement
- False or exaggerated claims of theft or property damage against NKJ or its Staff
15.3 Notice of Claims
The indemnified party must notify the indemnifying party in writing within ten (10) Business Days of becoming aware of any claim for which indemnification is sought. Failure to provide timely notice does not eliminate the indemnifying party's obligations but may reduce them to the extent that the delay caused prejudice.
16. Force Majeure
16.1 Definition
A "Force Majeure Event" means any event beyond the reasonable control of the affected party that prevents, hinders, or delays the performance of obligations under this Agreement, including but not limited to:
- Hurricanes, tropical storms, tropical depressions, and associated flooding (Jamaica lies within the Atlantic hurricane belt, and these events are a recognised risk)
- Earthquakes, landslides, and other natural disasters
- Epidemic, pandemic, or public health emergency declared by Jamaica's Ministry of Health and Wellness or the World Health Organisation
- Government-ordered shutdowns, curfews, states of emergency, or movement restrictions issued by the Government of Jamaica
- Civil unrest, riots, insurrection, or acts of terrorism
- Fire, explosion, or major infrastructure failure (power grid, water supply) affecting the Premises or NKJ's operations
- Labour disputes or industrial action not involving NKJ's own employees
16.2 Obligations During Force Majeure
The affected party must:
- Notify the other party as soon as reasonably practicable after becoming aware of the Force Majeure Event
- Use reasonable efforts to mitigate the effects of the Force Majeure Event and resume performance as soon as possible
- Provide regular updates on the status of the Force Majeure Event and the expected timeline for resumption of services
16.3 Effect on Obligations
Neither party is liable for failure to perform obligations to the extent that performance is prevented by a Force Majeure Event. Services missed due to a Force Majeure Event will not be billed, and no credits or penalties apply. If a Force Majeure Event continues for more than thirty (30) consecutive calendar days, either party may terminate this Agreement by written notice without penalty.
16.4 No Force Majeure for Payment
Force Majeure does not excuse your obligation to pay for Services already rendered before the Force Majeure Event.
17. General Provisions
17.1 Entire Agreement
This Agreement, together with any Service Order and accepted quotes, constitutes the entire agreement between you and NKJ regarding the Services and supersedes all prior negotiations, representations, warranties, understandings, and agreements between the parties, whether written or oral.
17.2 Amendments
No amendment, modification, or waiver of any provision of this Agreement is effective unless it is in writing and signed by authorised representatives of both parties.
17.3 Severability
If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction in Jamaica, the remaining provisions continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.
17.4 Waiver
A party's failure or delay in exercising any right or remedy under this Agreement does not constitute a waiver of that right or remedy. A waiver of any breach does not constitute a waiver of any subsequent breach. All rights and remedies are cumulative and not exclusive of any other rights or remedies available at law.
17.5 Assignment
You may not assign, transfer, or subcontract your rights or obligations under this Agreement without NKJ's prior written consent. NKJ may assign this Agreement to any successor entity or affiliate without your consent, provided that the assignee assumes all of NKJ's obligations under this Agreement. NKJ will notify you of any such assignment within fourteen (14) calendar days.
17.6 Notices
All notices under this Agreement must be in writing and delivered by one of the following methods:
- Email: To the email address specified in the Service Order (NKJ's email: [email protected])
- Hand delivery: To the physical address specified in the Service Order or, for NKJ, to 5 Balmoral Ave, Suite J, Kingston, Jamaica
- Registered post: To the address above
Notices sent by email are deemed received on the next Business Day. Notices sent by hand delivery are deemed received on the date of delivery. Notices sent by registered post are deemed received five (5) Business Days after posting.
17.7 Relationship of the Parties
Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship between you and NKJ (other than the express client-service provider relationship described herein). Neither party has authority to bind the other or incur obligations on the other's behalf.
17.8 Third-Party Rights
This Agreement does not confer any rights on any person or entity other than the parties and their permitted successors and assigns.
17.9 Language
This Agreement is written and executed in the English language. If there is any conflict between an English-language version and a translation, the English-language version prevails.
17.10 Survival
The following sections survive the termination or expiration of this Agreement: Section 3.5 (Late Payment), Section 5.4 (Non-Solicitation), Section 7 (Property Damage), Section 8 (Theft and Security), Section 9 (Limitation of Liability), Section 13 (Confidentiality), Section 14 (Dispute Resolution), Section 15 (Indemnification), and Section 17 (General Provisions).
